Vancouver, BC -- MPH Ventures Corp. (TSX-V: MPS) (FWB: IJA1) (the "Company") announces that it has received TSX Venture Exchange acceptance to extend and re-price the 4,575,000 share purchase warrants issued by the Company on May 9, 2007. The warrants, which are currently exercisable at a price of $0.27 per common share until May 9, 2009, will be extended until May 9, 2012, subject to forced exercise provisions noted below, and re-priced to an exercise price of $0.10 per share.
As required by TSX Venture Exchange policy, the terms of the warrants will be amended to shorten the exercise period if the closing price for the Company's shares is 12.5 cents or greater for a period of 10 consecutive trading days. The warrant holders will then have 30 days to exercise their warrants; otherwise, the warrants will expire on the 31st day.
There are an additional 329,450 warrants outstanding, the expiry date of which is also extended to May 9, 2012, but the exercise price will remain at 27 cents. These warrants comprise 275,000 warrants issued to insiders and 54,450 finder's fee warrants.
These warrants were issued pursuant to a private placement of five million shares, with five million share purchase warrants attached, which was accepted for filing by the exchange effective May 3, 2007, and amended May 7, 2007.
